These Terms and Conditions of Use (the "Terms") constitute a legally binding agreement between you and the operator of the online marketplace currently operating under the registered trade name "Vinty" (the "Platform"). These Terms govern all access to, and use of, the Platform, including but not limited to browsing, account creation, listing items for sale, purchasing items, communicating with other users, and using any related services made available through the Platform.

By accessing or using the Platform in any manner, you expressly acknowledge that you have read these Terms carefully, that you understand them, and that you agree to be legally bound by them in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

1. Platform Identity

The online marketplace operates under the registered trade name "Vinty" (the "Platform").

Until the establishment of a dedicated legal entity, the Platform is operated by an individual residing in the Republic of Cyprus (the "Platform Operator"), under the registered trade name "Vinty".

References in these Terms to "Vinty", "we", "us", or "our" shall be understood as references to the Platform Operator.

The Platform Operator reserves the right to transfer operation of the Platform to a legal entity in the future. Such transfer shall not affect the validity or enforceability of these Terms.

2. Nature of the Platform and Absence of Seller Status

Vinty is a digital marketplace infrastructure that facilitates contact and transactions between users who wish to sell items and users who wish to purchase items. Vinty does not itself sell, resell, buy, store, package, inspect, transport, or deliver any items listed on the Platform.

Vinty acts solely as a neutral intermediary. It does not represent buyers or sellers, does not act as an agent, broker, or trustee, and does not assume responsibility for the performance of obligations arising from contracts concluded between users.

All sales contracts are concluded directly between the buyer and the seller, without Vinty being a contractual party. Accordingly, Vinty bears no responsibility for the existence, quality, condition, safety, legality, authenticity, or delivery of any item, nor for the truthfulness or accuracy of any listing.

3. User Status and Prohibition of Professional Sellers

The Platform is intended exclusively for private individuals acting outside the scope of any commercial, professional, or business activity. By listing an item or completing a transaction, users expressly declare that they are acting as private individuals and not as traders or professionals.

The sale of items by professional sellers, commercial entities, or individuals acting in the course of a business activity is strictly prohibited. Vinty does not support professional seller tools, commercial listings, or trader disclosures, and does not offer statutory withdrawal rights applicable to consumer–trader relationships.

Vinty reserves the right to investigate suspected professional activity and to suspend or terminate accounts found to be operating in breach of this provision.

4. Account Creation, Accuracy of Information, and Responsibility

To use the Platform, users must create an account by providing a valid email address. Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account.

For delivery and transaction-related communications, users must provide a valid phone number and email address. Failure to provide accurate or up-to-date information may result in delivery failures, transaction issues, or loss of rights under these Terms.

Users are solely responsible for ensuring that all information provided to Vinty, Stripe, or BoxNow is accurate, complete, and truthful. Vinty shall not be liable for consequences arising from inaccurate or incomplete user-provided data.

5. Payments, Identity Verification, and Stripe Integration

All payments on the Platform are processed by Stripe, an independent third-party payment service provider. Vinty uses Stripe Connect to facilitate escrow holding, payment processing, and seller payouts.

To receive funds, sellers are required to complete identity verification procedures imposed by Stripe, including the submission of personal identification documents where required. Sellers may list items prior to completing verification; however, withdrawals will be blocked until verification is successfully completed.

If Stripe refuses, delays, or revokes verification, Vinty reserves the right to withhold payouts, suspend withdrawal functionality, or take other actions required to comply with legal and payment provider obligations. In certain circumstances, where funds cannot be legally released to a seller, Vinty may refund buyers.

Vinty does not control Stripe"s verification processes or payout timelines and disclaims responsibility for delays caused by Stripe.

6. Listings, Item Descriptions, and Seller Responsibility

Sellers bear full and exclusive responsibility for the content of their listings. This includes the accuracy of item descriptions, photographs, category placement, size selection, condition disclosures, and any other information provided to buyers.

Sellers must ensure that listings do not mislead buyers and accurately reflect the item offered. Any ambiguity, omission, or misrepresentation may give rise to disputes and enforcement actions.

7. Size Guidance and Measurement Disclaimer

Vinty provides a standardized size table intended to assist users in navigating size differences and conventions across item categories. This table is provided solely as guidance and does not constitute a guarantee of fit, measurement accuracy, or suitability.

In all cases, the legally binding reference for size is the size selected by the seller in the listing, together with the seller's description. Buyers acknowledge that sizing standards may vary and that individual fit preferences differ.

Refunds are not available where an item corresponds to the size selected by the seller, even if the buyer considers the item unsuitable. Refunds may be granted where the seller selected an incorrect size or where the item materially deviates from the description.

8. Prohibited Items, Legality, and Authenticity

Users may only list items that are lawful to sell and possess under applicable law. Items that are illegal, dangerous, or restricted are strictly prohibited.

Vinty does not authenticate branded items and does not guarantee the authenticity of any item listed on the Platform. Disputes relating to authenticity are matters between buyers and sellers. Vinty shall not be required to adjudicate such disputes unless compelled by law or competent authority.

Vinty reserves the right, at its sole discretion and without prior notice, to remove any listing where it reasonably believes that the seller does not have the legal right to sell the item, does not have possession of the item, where the listing may violate applicable law, third-party rights, or Vinty's policies, where the item is believed not to fit within the dimensions of the available BoxNow locker compartments used for shipping, or where the item does not match the theme and style focus of the Vinty marketplace.

9. Fees, Pricing, and Transparency

Vinty charges sellers a 5% platform service fee, calculated on the item price. This fee is deducted only upon successful completion of a transaction and release of funds.

Buyers are charged a 10% buyer protection fee, calculated as a fixed percentage of the item price and added at checkout. This fee covers services related to transaction safety, including escrow holding, payment processing, dispute handling, and fraud prevention.

All fees are displayed clearly prior to checkout. Completion of a transaction constitutes acceptance of the applicable fees.

10. Escrow, Fund Release, and Timing

Buyer payments are held securely in escrow until the transaction is completed. Funds are released to the seller once the buyer confirms satisfactory receipt of the item or automatically after forty-eight (48) hours from BoxNow pickup if no dispute is raised.

Upon release, funds become eligible for withdrawal, subject to Stripe processing times and verification status.

Cancellations after shipment: Either party may cancel an order from the order page at any time prior to the buyer's collection of the parcel from the BoxNow locker. If cancellation occurs before the seller deposits the parcel, a full refund shall be issued to the buyer, inclusive of shipping costs, at no charge to either party. If cancellation occurs after the parcel has been deposited at the origin locker but before buyer collection, the shipping cost paid to BoxNow shall be treated as a non-refundable cancellation fee: where the buyer initiates the cancellation, the shipping cost shall be withheld from the buyer's refund; where the seller initiates the cancellation, the buyer shall receive a full refund inclusive of shipping and the shipping cost shall be deducted from the seller's next payout. Once the buyer has collected the parcel, cancellation is no longer available and the dispute procedure under Section 12 shall apply.

11. Delivery via BoxNow and Uncollected Parcels

All deliveries are conducted exclusively via BoxNow. Buyers are responsible for collecting items within BoxNow's specified timeframe.

If an item is not collected and is returned to the seller, the buyer protection fee and shipping costs are non-refundable. Refunds of the item price may be issued at Vinty's discretion, depending on the circumstances.

In cases where a parcel is confirmed missing at the origin locker (i.e., the parcel was not found when the courier attempted collection), the buyer shall receive a full refund of the total amount charged, including the item price, shipping costs, and buyer protection fee. No payout shall be released to the seller in such cases.

12. Returns, Disputes, and Refund Handling

There is no right of withdrawal or return for change of mind. Buyers may raise disputes only within forty-eight (48) hours of BoxNow pickup and only for valid reasons, including non-receipt, damage, or significant misdescription. To assist in the verification process and resolution of any dispute, buyers are strongly advised to video-record themselves collecting the package from the BoxNow locker and opening it, ensuring the tracking label on the package is clearly visible in the recording.

Approved returns must be shipped via BoxNow within seventy-two (72) hours of dispute approval. Buyers are responsible for return shipping costs unless otherwise determined by Vinty.

Refunds are issued from escrow. Buyer protection fees are refunded only in cases of full refunds. Seller platform fees are not charged on refunded transactions.

13. Abuse, Fraud, and Exceptional Circumstances

Vinty reserves the right to investigate suspicious activity, reject abusive claims, suspend accounts, and permanently ban users engaged in fraud or misuse.

In rare cases involving confirmed fraud, platform error, or service failure, Vinty may issue refunds from its own funds as a discretionary goodwill measure. Such refunds do not constitute an admission of liability or establish any obligation for future cases.

14. Messaging and Monitoring

Messages exchanged between users are encrypted in transit and at rest. However, Vinty may access messages where necessary for dispute resolution, fraud prevention, legal compliance, or technical maintenance.

15. Enforcement, Suspension, and Termination

Vinty may remove content, restrict accounts, withhold payouts, or terminate access where necessary to enforce these Terms, protect users, comply with legal obligations, or assist with the smooth operational flow of the platform. Vinty shall provide the reasons that lead to an enforcement, suspension, or termination. Serious breaches may result in immediate action without prior notice.

16. Limitation of Liability

To the fullest extent permitted by law, Vinty disclaims liability for losses arising from user conduct, delivery failures, disputes, or misuse of the Platform. Users acknowledge that transactions are conducted at their own risk.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. The courts of Cyprus shall have exclusive jurisdiction over any disputes.

PRIVACY POLICY

Vinty collects only personal data strictly necessary for Platform operation, including account information, delivery contact details, transaction records, and communications. Data is processed for legitimate purposes such as service provision, legal compliance, and fraud prevention.

Stripe acts as an independent data controller for payment and identity verification data. Users retain all rights granted under the GDPR, subject to legal obligations.

COOKIE POLICY

Vinty uses cookies and similar technologies that are strictly necessary for the operation of the Platform. These cookies enable core functionality such as user authentication, account security, session management, and fraud prevention.

The Platform does not use:

• Analytics cookies
• Advertising cookies
• Tracking cookies
• Third-party marketing cookies

Because these cookies are essential for the functioning of the Platform and cannot be disabled without impairing its operation, user consent is not required under applicable EU law.

Users can find further information about cookies and how to manage or delete them through their browser settings. However, disabling necessary cookies may prevent the Platform from functioning correctly.
